Terms and Conditions

These Terms and Conditions ("Agreement") govern the relationship between Next Era Software Solutions ("Company", "we", "us", or "our") and the client ("Client", "you", or "your") for the provision of software development and related services.

1. Scope of Services

The Company will provide software development, design, training, and related IT services as per the agreed project scope or contract.

2. Client Responsibilities

  • Provide accurate and timely project requirements.
  • Ensure timely communication and approvals.
  • Provide necessary access to systems, data, or resources.

3. Fees and Payment

  • Payments must be made as per the agreed milestone or invoice schedule.
  • Delays in payment may result in suspension of services.
  • All fees are exclusive of applicable taxes.

4. Intellectual Property Rights

All intellectual property created during the project will belong to the Client once full payment has been made. The Company retains the right to use non-confidential parts of the project for portfolio or promotional purposes.

5. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without prior written consent.

6. Warranties and Limitations

The Company will make reasonable efforts to deliver error-free software, but does not warrant that software will be completely free of bugs or issues.

7. Maintenance and Support

Post-delivery maintenance or support will be governed by a separate agreement or service-level contract.

8. Liability

The Company shall not be liable for any indirect, incidental, or consequential damages.

9. Termination

Either party may terminate this Agreement with written notice. Client must pay for all work completed up to the termination date.

10. Refund Policy

  • Non-refundable Fees: Payments for services already delivered are non-refundable.
  • Advance/Deposit: Refunds will be considered only if work has not started.
  • Milestone Payments: If terminated mid-project, completed milestones are chargeable, and any balance may be refunded.
  • Service Dissatisfaction: Refunds will not be issued for changes in project scope, preferences, or client delays.
  • Force Majeure: No refunds for delays caused by uncontrollable events.
  • Final Decision: Refund decisions rest solely with the Company, ensuring fairness under Indian laws.

11. Privacy & Data Protection

The Company respects your privacy and is committed to protecting personal and business data shared during the course of services.

  • Client data will only be used for the purpose of providing agreed services.
  • We will implement reasonable technical and organizational measures to protect data from unauthorized access, loss, or misuse.
  • Personal data of end-users will be handled in compliance with applicable Indian data protection laws.
  • Client data will not be sold, rented, or shared with third parties without explicit consent, except where legally required.
  • Clients are responsible for ensuring they have the legal right to share third-party data with the Company.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed under the laws of India. Any disputes shall be resolved in courts located in India.

13. Force Majeure

The Company shall not be liable for delays or failure caused by events beyond reasonable control.

14. Entire Agreement

This Agreement constitutes the entire understanding between the Client and the Company and supersedes all prior communications.
